This Confidentiality Agreement ("Agreement") is entered into by and between Rashiai.com ("Company," "we," "our," or "us") and the user ("User" or "you") of our services. By availing of our services, you agree to the terms outlined below regarding the confidentiality of information shared between both parties.

1. Definitions

1.1 Confidential Information
Confidential Information refers to all non-public, proprietary, or sensitive information disclosed by the User to the Company, including but not limited to:

• Personal information (e.g., name, contact details, birth details, and other consultation-related data).

• Communication during consultations, including queries, responses, and recommendations.

• Any data shared via the contact form, email, phone, or any other medium.

1.2 Exclusions from Confidential Information
Confidential Information does not include information that:

• Is or becomes publicly available without breach of this Agreement.

• Was known to the Company prior to disclosure by the User.

• Is independently developed by the Company without reference to the User’s Confidential Information.

• Is lawfully obtained from a third party without restriction.

2. Obligations of the Company

2.1 Protection of Information
The Company agrees to:

• Use Confidential Information solely for the purpose of delivering the agreed-upon services.

• Protect and safeguard Confidential Information from unauthorized access, disclosure, or use.

• Limit access to Confidential Information to authorized personnel who need it to perform their duties.

2.2 Non-Disclosure
The Company shall not disclose Confidential Information to any third party without the User's explicit written consent, except where required by:

• Applicable laws or regulations.

• Court orders, subpoenas, or other legal processes.

2.3 Retention and Disposal
The Company will retain Confidential Information only as long as necessary to fulfill the intended purpose or comply with legal obligations. Upon request or service completion, the Company will securely dispose of Confidential Information unless retention is required by law.

3. Obligations of the User

​

The User agrees to:

• Provide accurate and complete information to enable the Company to deliver quality services.

• Avoid sharing unnecessary or overly sensitive information unless specifically requested for the service.

4. Exceptions to Confidentiality

​

4.1 Legal and Regulatory Compliance
The Company reserves the right to disclose Confidential Information if required by law, regulatory authorities, or court orders. In such cases, the Company will make reasonable efforts to notify the User in advance unless prohibited by law.

4.2 Security Risks
While the Company implements robust security measures to protect Confidential Information, no system is entirely foolproof. Users acknowledge and agree that the Company cannot guarantee absolute security against unauthorized access or breaches.

5. Limitation of Liability

The Company shall not be held liable for:

• Disclosure or misuse of Confidential Information resulting from the User’s negligence or failure to safeguard their information.

• Unauthorized access or breaches caused by third-party actions beyond the Company’s reasonable control.

• Indirect, incidental, or consequential damages resulting from the disclosure of Confidential Information.

6. Indemnification

The User agrees to indemnify and hold the Company harmless from any claims, damages, or expenses arising from:

• The User’s failure to comply with the terms of this Agreement.

• Misuse of the services or Confidential Information provided.

7. Term and Termination

​

7.1 Term:
This Agreement remains in effect as long as the User’s Confidential Information is in the Company’s possession.

7.2 Termination:
Either party may terminate this Agreement with written notice. Upon termination, the Company will securely delete or destroy all Confidential Information unless retention is required by law.

8. Governing Law and Jurisdiction

​

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.

9. Entire Agreement

​

This Agreement constitutes the entire understanding between the parties regarding confidentiality and supersedes all prior agreements or understandings. No modifications to this Agreement shall be valid unless made in writing and signed by both parties.
